Taxation
The Taxation Practice Team advises individuals and businesses on federal, state and local tax matters. It provides tax planning services and represents clients before the Internal Revenue Service, Alabama Department of Revenue and other taxing authorities at audit and appeal proceedings. Our firm has eight full-time tax attorneys, two of whom are Certified Public Accountants, providing advice to the firm’s clients.
The Taxation Practice Team assists the firm’s business clients in all aspects of taxation affecting the life-cycle of a business, including business acquisitions and dispositions, start-ups and early-stage companies, joint ventures and strategic alliances, private and public offerings of debt and equity securities and financial products, compensation, sales and use tax, and leases of equipment and facilities. In addition, the Practice Team advises clients in the areas of qualified and non-qualified pension and profit sharing plans and other employee welfare benefit and fringe benefit plans and arrangements. The firm also advises corporations and private equity funds in connection with strategic and venture capital investments, leveraged recapitalizations and management buy-outs.
The firm represents individuals and fiduciaries in all aspects of estate planning and the administration of estates and trusts, both foreign and domestic, including tax and estate planning for executives of public corporations and closely-held businesses.
The Taxation Practice Team also serves as counsel to a number of tax-exempt organizations and assists such organizations in obtaining and maintaining federal tax exempt status and in qualifying for exemption from real estate, sales and use and other taxes. In addition, it advises such organizations on qualification as a public charity or a private foundation and the taxation of unrelated business income.
